Seller Agreement – Nipher

Introduction

This Seller Agreement describes the terms and conditions that govern the relationship between Nipher and individuals or businesses who sell products on the Nipher platform. By registering as a seller on Nipher, you agree to comply with the terms outlined in this agreement.

Seller Eligibility

To sell products on Nipher, sellers must meet the following requirements

• Sellers must be at least 18 years of age.
• Both **individual sellers and registered businesses** may register.
• **PAN and Aadhaar verification is mandatory** for identity verification.
• If operating as a **partnership or registered business**, a valid **GST number must be provided**.
• Seller verification documents are used only for identity verification and may be deleted after successful verification.
• Currently, only **sellers located in India** are allowed to operate on the platform. International selling may be introduced in the future.

Seller Responsibilities

Sellers must ensure that

• All product information is **accurate and truthful**.
• Product listings include clear images and descriptions.
• Products sold comply with **Indian laws and regulations**.
• Sellers maintain accurate stock levels.
• Sellers cooperate with Nipher in resolving disputes or order-related issues.

Nipher handles **customer support**, but sellers must assist if additional information is required.

Product Listing Rules

When creating product listings, sellers must follow these rules

• Maximum **5 images** per product listing.
• **Watermarked images are not allowed**.
• Product descriptions must clearly explain the product features.
• Products must belong to **approved marketplace categories**.

Currently, listings are automatically published, but Nipher reserves the right to introduce **manual listing review in the future**.

Commission and Fees

Nipher charges a **platform commission for every successful order**.

• Current commission rate: **14% per order**
• Payment gateway charges are also applied to the seller.
• No listing fees are charged.

Commission rates may change in the future and will be communicated to sellers.

Shipping and Fulfillment

Shipping services are managed by the platform.

• Nipher currently uses **Delhivery** as the logistics partner.
• Additional courier partners may be added in the future.
• Tracking information is automatically updated by the platform.
• Sellers do not need to manually upload tracking numbers.

Returns and Refunds

Nipher offers a **7-day return window** for eligible products.

If a return occurs

• The seller is responsible for covering:

• Platform commission
• Payment gateway fees
• Forward shipping charges

Sellers cannot reject valid return requests submitted within the allowed return window.

Payout Policy

Seller payouts follow these rules

• Payouts are processed through **manual bank transfer**.
• Sellers must **request payouts manually**.
• Payments are released **after successful order delivery**.
• Payouts are processed **only on bank working days**.
• Minimum payout amount is **₹100**.

Nipher reserves the right to deduct charges in case of fraud, policy violations, or inconsistencies.

Account Suspension

Seller accounts may be suspended or terminated for

• Fraudulent activities
• Selling counterfeit or illegal products
• Repeated poor ratings
• Excessive order cancellations
• Violation of platform policies

In certain cases, warnings may be issued before suspension. However, severe violations may result in immediate account termination.

Platform Authority

Nipher reserves the right to

• Remove listings that violate platform rules.
• Investigate suspicious activities.
• Suspend or terminate seller accounts.

Actions may be taken **without prior notice** if fraud or policy violations are detected.

Legal Compliance

Sellers are responsible for complying with all applicable laws, including

• Product authenticity
• Consumer protection regulations
• Tax compliance

GST management may be integrated by the platform in the future.

Agreement Acceptance

By registering and selling on Nipher, sellers acknowledge that they have read and agreed to the terms of this Seller Agreement.
